These Terms & Conditions govern your use of the Trusttle website (trusttle.com) and the TrustBridge settlement platform (app.trustbridge.io), operated by ELP Tech Ltd, registered in England and Wales. Please read them carefully before using the Platform.
Definitions
The following terms have the meanings set out below throughout these Terms & Conditions:

| Deal | A structured transaction created on the Platform between named parties (buyer, seller, broker, and/or arbiter). |
| Smart Contract | A self-executing piece of code deployed on Base mainnet that governs escrow, approvals, and fund release for a Deal. |
| Escrow | Funds held in a Gnosis Safe multisig smart contract pending completion of a Deal. |
| Settlement | The release of escrowed funds to the relevant parties upon fulfilment of all conditions and approvals. |
| Blockchain | The Base mainnet (an Ethereum Layer 2 network) on which Smart Contracts and transactions are recorded. |
| On-Chain Data | Any data written to the Blockchain as part of a Deal, including wallet addresses, transaction hashes, approval signatures, and payout records. |
| KYB / KYC | Know Your Business / Know Your Customer — identity and due diligence verification required prior to using the Platform. |
| Fees | The platform transaction fee charged by Trusttle as a percentage of escrowed deal value. |
| Force Majeure | Any event beyond a party's reasonable control, including network outages, regulatory action, smart contract exploits, or blockchain failures. |
Acceptance of Terms
By registering for, accessing, or using the Platform in any way, you agree to be bound by these Terms & Conditions in full. If you do not agree, you must not use the Platform.
These Terms & Conditions constitute a legally binding agreement between you and ELP Tech Ltd. They apply to all users of trusttle.com and app.trustbridge.io, including visitors, registered users, and deal participants.
We may update these Terms from time to time. When we make material changes, we will notify registered users by email and update the effective date. Continued use of the Platform after the updated effective date constitutes acceptance of the revised Terms.
These Terms are governed by the laws of England and Wales.
Eligibility
To use the Platform, you must:
- ▸Be at least 18 years of age.
- ▸Be acting in a professional or business capacity — the Platform is a B2B service and is not intended for retail consumers.
- ▸Have the legal authority to bind the entity you represent (if registering on behalf of a company or firm).
- ▸Not be located in, incorporated in, or a national of any country subject to comprehensive UK, EU, or US sanctions.
- ▸Not be named on any sanctions list maintained by OFAC, the UK OFSI, the EU, or the UN.
- ▸Successfully complete our KYB/KYC verification process prior to participating in any Deal.
We reserve the right to refuse access to any person or entity at our discretion, including where we have reason to believe eligibility requirements are not met.
What We Provide
We are NOT a bank, financial institution, or custodian. We do NOT hold client funds.
All funds deposited into escrow are held in Gnosis Safe multisig smart contracts deployed on Base mainnet. These contracts are autonomous — Trusttle does not have unilateral access to or control over escrowed funds. Funds are released only upon the threshold of required approvals being met.
The Platform provides the following services:
- ▸Deal creation tools — define parties, roles, commission splits, and conditions.
- ▸Multi-party approval workflows — gated, on-chain approval flows requiring all designated parties to sign.
- ▸Smart contract escrow deployment — a Gnosis Safe multisig is deployed per deal to hold funds securely.
- ▸Settlement execution — atomic fund release to seller, broker, and platform upon all-party approval.
- ▸Audit trail generation — a tamper-proof, on-chain record of every action taken in a Deal.
- ▸Optional Hiscox settlement insurance — available as an add-on per deal.
- ▸Optional Kleros dispute arbitration — available where a deal is contested.
Trusttle is a technology platform. We facilitate settlements — we do not provide legal, financial, tax, or investment advice. Nothing on the Platform constitutes advice of any kind.
Smart Contracts & Blockchain
Once a transaction is executed on-chain, it cannot be cancelled, reversed, or amended. This includes escrow funding, approval signatures, and settlement payouts.
You are solely responsible for verifying all deal terms, wallet addresses, and approval decisions before signing. Trusttle cannot reverse or recover funds once a blockchain transaction is confirmed.
You acknowledge and accept the following in relation to smart contracts and blockchain use:
- ▸Smart contracts execute automatically when conditions are met — there is no human intervention at the point of execution.
- ▸On-chain data (including wallet addresses, transaction hashes, and approval records) is public and permanent.
- ▸Blockchain networks may experience congestion, outages, forks, or other disruptions beyond Trusttle's control.
- ▸Gas fees (network transaction costs) are separate from Trusttle's platform fees and are borne by the transacting party.
- ▸Smart contract code is subject to security risks including undiscovered bugs or exploits. We engage formal third-party audits to mitigate this risk, but no guarantee can be given.
- ▸Wallet addresses are your responsibility. Sending funds to an incorrect address cannot be reversed.
Our smart contracts are audited by an independent third party prior to mainnet deployment. Audit reports are available on request.
KYB / KYC & Compliance
All users must complete identity verification (KYC for individuals, KYB for entities) before participating in any Deal on the Platform. We are required by law to conduct these checks and to screen all users against applicable sanctions lists.
By using the Platform, you agree to:
- ▸Provide accurate, complete, and current identity and business documentation when requested.
- ▸Notify us immediately if any submitted information changes.
- ▸Consent to your wallet address being screened against sanctions lists (including OFAC, OFSI, and UN lists) on an ongoing basis.
- ▸Not use the Platform to facilitate money laundering, terrorist financing, sanctions evasion, or any other illegal activity.
- ▸Cooperate with any enhanced due diligence requests if required.
We reserve the right to suspend or terminate your account and report activity to relevant authorities if we have reasonable grounds to suspect non-compliance. We may be required by law to do so without notifying you.
KYC/KYB data is processed in accordance with our Privacy Policy.
Fees
1% (100 bps) of settled transaction notional
Fixed settlement fee. Deducted atomically at settlement.
The platform fee is 1% (100 bps) of the total settled transaction notional and is deducted automatically by the smart contract at the moment of settlement. The applicable fee rate is disclosed to all parties at deal creation before any funds are committed.
- ▸Fees are non-refundable once a settlement has been executed on-chain.
- ▸If a deal is cancelled before escrow funding, no platform fee is charged.
- ▸If a deal is disputed and resolved via Kleros arbitration, fees are governed by the outcome of that arbitration.
- ▸Hiscox insurance premiums (where applicable) are charged separately and are governed by the insurance terms provided at the time of purchase.
- ▸Gas fees (blockchain network costs) are not charged by Trusttle and are not included in the platform fee.
- ▸We reserve the right to update our fee schedule. Updated fees will apply to new deals created after the effective date of any change.
Intellectual Property
All intellectual property in the Platform, including but not limited to the software, smart contract code, user interface, design, branding, trademarks, and documentation, is owned by or licensed to ELP Tech Ltd.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended purpose in accordance with these Terms. This licence does not permit you to:
- ▸Copy, modify, distribute, sell, or sublicense any part of the Platform.
- ▸Reverse engineer, decompile, or attempt to extract the source code of the Platform.
- ▸Use our branding, trademarks, or trade names without our prior written consent.
- ▸Create derivative works based on the Platform or its content.
Deal data you submit to the Platform remains your data, subject to our Privacy Policy. You grant us a limited licence to process and store that data to provide the services described in these Terms.
Smart contract code deployed on-chain is public by the nature of blockchain technology. However, the underlying logic, architecture, and implementation remain our intellectual property.
User Obligations
By using the Platform, you agree that you will not:
- ▸Use the Platform for any unlawful purpose, including money laundering, fraud, sanctions evasion, or market manipulation.
- ▸Submit false, misleading, or fraudulent information at any point, including during KYC/KYB verification.
- ▸Attempt to gain unauthorised access to any part of the Platform, any account, or any connected system.
- ▸Interfere with or disrupt the Platform's infrastructure, including denial-of-service attacks, injection attacks, or exploits targeting smart contracts.
- ▸Circumvent, disable, or attempt to bypass any security or access control measures.
- ▸Use automated bots, scrapers, or scripts to access or extract data from the Platform without our prior written consent.
- ▸Impersonate any person, entity, or party in a Deal.
- ▸Use the Platform to facilitate transactions involving sanctioned parties, prohibited goods, or illegal activity of any kind.
- ▸Transmit malicious code, viruses, or harmful content via the Platform.
- ▸Reproduce, sell, or commercially exploit any part of the Platform without our prior written authorisation.
- ▸Collude with other parties to defraud a deal participant, including manufactured disputes or false approval sequences.
- ▸Attempt to influence or corrupt Kleros arbitration proceedings through bribery, coercion, or dishonest evidence.
Breach of these obligations may result in immediate suspension or termination of your account, reporting to relevant authorities, and legal action where appropriate.
Limitation of Liability
To the fullest extent permitted by applicable law, Trusttle (ELP Tech Ltd) shall not be liable for:
- ▸Any loss of funds resulting from smart contract exploits, blockchain failures, or network outages.
- ▸Any irreversible on-chain transactions executed in accordance with the deal approval flow.
- ▸Loss of profits, loss of revenue, loss of data, or any indirect, consequential, or special loss of any kind.
- ▸The conduct, decisions, or failures of any other deal party (buyer, seller, broker, or arbiter).
- ▸Any failure or delay caused by a Force Majeure event.
- ▸The outcome of any Kleros arbitration proceeding.
- ▸Any regulatory action taken against a user by any authority.
- ▸Your reliance on any information provided on the Platform as legal, financial, or investment advice.
Where liability cannot be excluded by law, our total aggregate liability to you in connection with your use of the Platform shall not exceed the total platform fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
Dispute Resolution
Disputes between deal parties
Where a dispute arises between parties to a Deal (e.g. a buyer, seller, or broker disagree on whether settlement conditions have been met), the Platform offers optional Kleros decentralised arbitration. Kleros is an on-chain dispute resolution protocol using crowdsourced jurors.
Where Kleros arbitration is invoked, the outcome is binding and enforced automatically by the smart contract. The Kleros arbitration process is governed by the Kleros terms and policies available at kleros.io.
Parties to a Deal agree that invoking Kleros arbitration is a valid dispute resolution mechanism under these Terms and that its outcome constitutes a final and binding determination of the dispute.
Disputes between a user and Trusttle
Any dispute, claim, or controversy between you and ELP Tech Ltd arising out of or in connection with these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where you are a consumer resident in a jurisdiction with mandatory local jurisdiction rules.
Before commencing formal proceedings, both parties agree to attempt to resolve the matter in good faith by written notice to the other party. If the matter is not resolved within 30 days of such notice, either party may proceed to formal proceedings.
These Terms and any dispute arising under them are governed by the laws of England and Wales.
Termination
Termination by you
You may close your account at any time by contacting us at contact@trusttle.com. You may not close your account while you are a party to an active, open Deal with funds in escrow.
Termination by us
We may suspend or terminate your access to the Platform immediately, without notice, if:
- ▸You breach any provision of these Terms.
- ▸We are required to do so by law, regulation, or court order.
- ▸We have reasonable grounds to suspect fraudulent, illegal, or harmful activity.
- ▸You fail KYB/KYC verification or are identified on a sanctions list.
- ▸We cease to operate the Platform.
Upon termination, your access to the Platform will cease. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Limitation of Liability, and Dispute Resolution) will continue to apply.
On-chain data written during your use of the Platform is permanent and will remain on the Blockchain regardless of account termination.
